We publish governance facts here only as they are formally established and verified. This page will grow as the institution does.

LEGAL FORMATION

A Delaware nonprofit corporation.

The Foundation is legally organized as Street Pulse Foundation Inc., a Delaware nonprofit nonstock corporation formed in July 2026. Its certificate of incorporation includes charitable-purpose, non-inurement and dissolution provisions consistent with federal tax-exempt requirements.

TAX STATUS

Preparing its federal application.

The Foundation has obtained a federal Employer Identification Number and is preparing its application for recognition of exemption under Section 501(c)(3) of the Internal Revenue Code. It is not currently a federally recognized tax-exempt organization, and contributions are not currently tax-deductible.

BOARD OF DIRECTORS

Being assembled.

An initial director was named in the incorporator resolutions. The Foundation is recruiting additional independent directors toward an independent-majority board with an independent chair. Individual directors will be named here once formally appointed.

POLICIES & CONTROLS

In development.

Governance policies — including conflict of interest, financial controls, whistleblower protection, document retention and related-party transaction policies — are drafted and pending attorney review and formal board adoption. They will be published here once adopted.

TRANSPARENCY COMMITMENT

What we will publish.

As the Foundation becomes operational, this section will carry annual reports, audited or reviewed financial statements, the IRS determination letter once issued, and adopted governance documents. We will not present projections or unverified claims as results.

RELATED ORGANIZATIONS

Separation by design.

The Foundation is an independent nonprofit organization. It maintains separate governance, finances, records and assets from any for-profit ventures associated with its founders, and any future transactions between them will be documented at arm's length with independent oversight.
